NEW YORK, June 2, 2021 / PRNewswire / – Baker McKenzie and Marcum Bernstein & Pinchuk LLP (MBP) announced that they will co-host a virtual conference, the “Asia SPAC Management Bootcamp”, on July 15the of 9 a.m. to 5 p.m. Hong Kong time (July 14the of 9:00 p.m. at July 15the at 5 a.m. new York time.) The panels include:

  • A guide for SASP sponsors: How to start a successful SPAC IPO
  • Getting ready for PSPC: What you need to do now to pursue a PSPC merger
  • The PIPES market: Validate your investment story with institutional capital
  • The short side: How to avoid becoming the subject of a short activist campaign
  • SPAC for the long term: Outlook for PSPCs South East Asia, India, and beyond

All panels will be held in English with simultaneous translation into Chinese.

The panels will operate from 9 a.m. to 1:30 p.m. Hong Kong time.

“PSPC has captured the imaginations of many of the management teams of China and South East Asia in 2021, given the huge sums of capital that need to be deployed and the accelerated timeline to achieve public status, ”said Drew Bernstein, co-managing partner of MBP.

“However, private companies that do not invest the time and resources up front to prepare for the PSPC merger can be ignored even if they have an attractive business model. Problems such as the quality of accounting and internal controls and management’s ability to provide accurate business forecasts will determine the success of these transactions and the depth of investor appetite to participate in both IPOs and PIPE transactions in the future. ”

Virtual sub-committee rooms for companies

Of 9 a.m. to 5 p.m., private companies considering a PSPC merger can also attend a series of virtual meeting rooms hosted by Baker McKenzie to meet with PSPC sponsors seeking merger goals, leading investment banks active with PSPCs and investment funds active in PIPE investments linked to PSPC.

These briefings will provide management with an invaluable opportunity to meet leading experts in securities law, auditing, financial statement preparation, investor relations and capital markets advisory, offshore entities, in tax strategy and D&O insurance.

“The merger of PSPC presents a more complicated life cycle and capital structure than the traditional IPO, making it essential that management teams are fully informed and supported by advisors who are in the middle of the flow of transactions. and informed of regulatory changes, ”said Perrie Weiner, Partner at Baker McKenzie. “Since some innovative companies from Asia can operate from a lower baseline to understand the rapidly evolving PSPC program, we believe this will be an extremely valuable exchange of ideas. “

Sponsors for the event include Albeck, AIG, AUM Media, Houlihan Lokeyand VentureCap Insights.

Registration for the event will open on June 21stst.
